Terms of Use

These Terms of Use govern your access to and use of Spritz websites, products, applications, waitlist experiences, and related services. Please read them carefully.

1. Acceptance of these Terms

By accessing or using Spritz, you agree to these Terms of Use and our Privacy Policy. If you use Spritz on behalf of a company, agency, brand, client, or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

If you do not agree to these terms, do not use Spritz.

2. What Spritz does

Spritz helps teams produce brand experiences by turning briefs, decks, and event goals into concepts, plans, timelines, checklists, sourcing workflows, vendor outreach drafts, and related production materials. Spritz may include beta, pilot, waitlist, or early-access features that are still being tested.

Spritz is a planning and production-assistance tool. Spritz is not a venue operator, event producer of record, professional advisor, safety consultant, insurer, permit expediter, legal advisor, financial advisor, tax advisor, employment advisor, or party to contracts you enter with venues, vendors, guests, attendees, sponsors, clients, contractors, or other third parties unless we separately agree in a signed written agreement.

3. Accounts, access, and integrations

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate account and contact information and to promptly notify us of unauthorized access or security incidents involving your account.

If you connect third-party services, including Google OAuth integrations, you authorize Spritz to access and use the connected service as needed to provide the features you choose. Your use of third-party services remains subject to those services' terms and policies. You may revoke integration access where the third-party service or Spritz makes that option available.

4. Your responsibility for events and real-world decisions

You are responsible for all decisions, approvals, contracts, payments, compliance, safety, staffing, insurance, permits, licenses, accessibility, security, crowd management, alcohol service, food service, music or media rights, health rules, labor rules, location rules, and other obligations related to events or experiences you plan or run.

Spritz may help organize information, suggest next steps, or draft materials, but you must independently verify all information before relying on it. You are responsible for confirming venue availability, vendor qualifications, pricing, estimates, insurance requirements, legal restrictions, production feasibility, deadlines, and any other event details.

You agree that Spritz is not responsible for event cancellations, delays, vendor or venue performance, attendee conduct, injuries, property damage, lost revenue, reputational harm, permit issues, budget overruns, weather, force majeure events, safety incidents, or any other real-world outcome related to an event, except to the extent caused by Spritz's own gross negligence or willful misconduct where liability cannot be limited by law.

5. Vendors, venues, and third-party services

Spritz may display, reference, help source, or help communicate with third-party venues, vendors, tools, platforms, or service providers. We do not control those third parties and do not guarantee their availability, pricing, quality, credentials, licensing, insurance, safety practices, performance, legality, or suitability.

Any contract, purchase, booking, payment, instruction, or relationship between you and a third party is solely between you and that third party unless Spritz signs a separate written agreement stating otherwise.

6. Your content and permissions

You retain ownership of briefs, files, decks, notes, project information, brand assets, and other content you submit to Spritz. You grant Spritz a worldwide, non-exclusive, royalty-free license to host, process, reproduce, display, transmit, and otherwise use your content as needed to provide, maintain, secure, support, and improve Spritz.

You represent that you have all rights, consents, and permissions needed to submit content to Spritz and to allow Spritz to process it. Do not submit confidential, regulated, sensitive, attendee, employee, client, or third-party information unless you are authorized to do so and unless using Spritz for that information is lawful and appropriate.

Spritz and its licensors retain all rights in the service, software, models, workflows, designs, templates, documentation, branding, and technology. Except for your content, no rights are transferred to you other than the limited right to use Spritz under these terms.

7. AI-generated outputs

Spritz may generate concepts, text, recommendations, estimates, task lists, outreach drafts, timelines, summaries, and other outputs using artificial intelligence. AI-generated outputs can be inaccurate, incomplete, outdated, duplicated, unsafe, or unsuitable for your situation.

You are responsible for reviewing, editing, validating, and approving outputs before using them. Do not rely on Spritz outputs as the sole basis for legal, safety, financial, insurance, staffing, vendor, venue, compliance, accessibility, permitting, or other important decisions.

8. Prohibited use

You may not use Spritz to violate law, infringe rights, mislead others, transmit malware, scrape or reverse engineer the service, bypass security or access controls, interfere with service operation, overload infrastructure, access another user's data, submit content you lack rights to use, or plan activities that are unlawful, unsafe, exploitative, discriminatory, harassing, violent, or otherwise harmful.

You may not use Spritz outputs, integrations, or third-party data in a way that violates applicable third-party terms, including Google API Services policies.

9. Fees and paid features

Some Spritz features may be free, invite-only, beta, paid, or subject to separate order forms or subscription terms. If you purchase paid services, you agree to pay the fees, taxes, and charges presented to you or agreed in writing. Separate written agreements control if they conflict with these Terms.

10. Changes, suspension, and termination

We may modify, suspend, or discontinue Spritz or any feature at any time. We may suspend or terminate access if we believe you violated these Terms, created risk for Spritz or others, failed to pay amounts owed, or used the service in a way that could cause harm or legal liability.

You may stop using Spritz at any time. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, and dispute provisions.

11. Disclaimers

To the fullest extent permitted by law, Spritz is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and uninterrupted or error-free operation.

We do not warrant that Spritz will meet your requirements, produce any particular business or event result, identify every risk, secure any vendor or venue, obtain any permit, meet any budget, comply with every applicable rule, or prevent losses, delays, claims, injuries, or damages.

12. Limitation of liability

To the fullest extent permitted by law, Spritz and its founders, employees, contractors, agents, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost data; business interruption; reputational harm; event cancellation or delay; vendor or venue issues; attendee claims; personal injury; property damage; or other losses arising from your use of Spritz or any event you plan or run, even if we have been advised of the possibility of those damages.

To the fullest extent permitted by law, Spritz's total liability for all claims arising out of or relating to Spritz or these Terms will not exceed the greater of (a) the amounts you paid to Spritz for the service giving rise to the claim in the three months before the event giving rise to liability or (b) $100.

Some jurisdictions do not allow certain limitations of liability, so some limits may not apply to you. In those jurisdictions, liability is limited to the maximum extent permitted by law.

13. Indemnity

You agree to defend, indemnify, and hold harmless Spritz and its founders, employees, contractors, agents, affiliates, service providers, and licensors from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to your content, your use of Spritz, your events or experiences, your relationships with vendors, venues, attendees, clients, sponsors, contractors, or other third parties, your violation of these Terms, or your violation of law or third-party rights.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Unless a separate written agreement says otherwise, you and Spritz agree to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California, for disputes arising out of or relating to these Terms or Spritz.
